Advantages

The creation of a Swiss company allows many advantages:

Tax system

Swiss companies are subject to two main taxes: tax on the profit and tax on the capital. Each of these two taxes has a different scale depending on the canton and the city of residence. Furthermore the tax rules differ between cantons. We ensure that the companies are located in a common and favourable tax canton.
An example of taxation for a SA company located in the canton of Valais
PROFIT TAX
  Profit
< 100'000 CHF
Profit
> 100'000 CHF
Municipal Tax 2.62 % 7.45 %
Cantonal Tax 2.62 % 7.45 %
Federal Tax 8.5% 8.5%
TAX ON THE CAPITAL
  Capital
< 500'000 CHF
Capital
> 500'000 CHF
Municipal Tax 0.1 % 0.25 %
Cantonal Tax 0.1 % 0.25 %
Federal Tax 0 % 0 %
However, the tax system can be optimized for Holding companies. Contact us for more information.

Holding Company

The Company is classified as a holding company, and may benefit from a special tax regime if:
  • The goal of the company is essentially the management of shareholdings
  • The Company does not engage in commercial activity in Switzerland
  • The shares held by the company consists of at least 2/3 of shareholdings
  • OR
  • The income from th held shares represents at least 2/3 of the total income
The tax rate of the company depends on the canton and the municipality of residence. We used to work in the canton of Valais (Wallis), which offers a very advantageous taxation system for Holding companies.
Example of tay rate for a Holding in Valais (Wallis), having only interests:
Profit Tax Tax on he capital
Municipal Tax 0 % 0.1 %
Cantonal Tax 0 % 0.1 %
Federal Tax 0 % * 0 %
* At the federal level, the profit tax (8.5%) is applied for profits that are not derived from shares. So if there is a pure Holding Company, it will pay no federal profit tax.

Anonymity and nmination of a Swiss Resident Director

It is mandatory that at least one of the directors of the company is a Swiss person, or B permit or C permit. We can provide swiss directors resident in Switzerland, if you want to remain anonymous.

Offshore Company

Offshore companies have a very low taxation, while remaining credible, unlike some tax havens that can attract attention. A company is said Offshore when its activity is mainly outside of Switzerland. This structure is perfect for example for e-commerce companies.

Advantages

  • Very advantageous tax
  • Possibility of anonymity
  • Credible and discreet (unlike tax havens)
  • Geographical proximity, easy to reach Switzerland (unlike tax havens)
  • Simple and effective administration
  • Swiss bank secrecy
  • To become an Offshore company: sales and production activities must be performed at least 80% outside of Switzerland. For example, production activities are: Management, Billing, Sales, Marketing, purchases or sales Services.
To form an Offshore company, we mainly work in the canton of Valais (Wallis), which offers very attractive tax advantages for Offshore companies.
